Sensory Toolbox Terms of Service and End User License Agreement

These Terms of Service ("Terms") are a binding agreement between you and Sensory Toolbox Corporation ("Sensory Toolbox," "we," "us," or "our"). They govern your use of the Sensory Toolbox mobile app, the Provider Dashboard, our website, and related services (together, the "Service"). They also serve as the end user license agreement for our app.



Please read these Terms carefully. By creating an account or using the Service, you agree to them. If you are agreeing on behalf of a child, or on behalf of a clinic, school, or other organization, you represent that you have the authority to do so.



Important notices, please read first

Sensory Toolbox is a general wellness product. It is not a medical device, and it does not diagnose, treat, cure, or prevent any disease or condition. It is not therapy and is not a substitute for professional care. See Section 2.



Sensory Toolbox is not for emergencies. It does not monitor for or respond to crises. If you or someone you know may be in danger or thinking about suicide or self-harm, call or text 988 or call 911 right away. See Section 3.



These Terms include an arbitration agreement and a waiver of class actions in Section 16. This affects how disputes between you and us are resolved. You can opt out of arbitration within 30 days.



1. Who can use Sensory Toolbox

To create an account, you must be at least 18 years old and able to enter into a contract. You may use the Service as:



A parent or legal guardian setting up and managing a child's use of the app.

An adult user using the app for yourself.

A clinician, educator, or administrator authorized by your organization to use the Provider Dashboard.

Children do not create their own accounts. A child ages 3 and up may use the app only through a profile created and supervised by a parent or guardian, or by a clinician or school authorized to act for the parent. By setting up a child's profile, you confirm that you are the parent or legal guardian, or that you are otherwise authorized, and you consent to our collection and use of the child's information as described in our Privacy Policy.



2. Medical disclaimer

Sensory Toolbox is a general wellness product. It is not a medical device, and it does not diagnose, treat, cure, mitigate, or prevent any disease or medical condition.



Sensory Toolbox provides general self-regulation and sensory-support strategies, such as breathing, grounding, movement, and sensory tools, intended only to support general wellness and a healthy lifestyle. It is designed to be used alongside, and never as a replacement for, professional medical, psychological, behavioral, therapeutic, or educational care. The Service is not a substitute for the advice, diagnosis, or treatment of a qualified healthcare provider, therapist, or other licensed professional.



The strategies, content, tracking features, and any reports available through the Service are for informational and general wellness purposes only. They are not clinical recommendations, do not constitute medical or therapeutic advice, and should not be relied on for any diagnostic or treatment decision. No content in the Service is intended to prompt, guide, or direct any specific clinical action or medical management.



No professional relationship is created. Using Sensory Toolbox does not create a doctor-patient, therapist-client, counselor-client, or any other professional treatment relationship between you, or any child you supervise, and Sensory Toolbox or its personnel or advisors.



Always seek professional guidance. Always seek the advice of a qualified professional with any questions about a medical or psychological condition or sensory needs, and before starting, stopping, or changing any treatment, therapy, or strategy. Never disregard professional advice or delay seeking it because of something you accessed through the Service.



Individual results vary. Outcomes depend on many individual factors. Any examples, pilot results, or outcomes we describe are not promises or guarantees of any particular result.



3. Not for emergencies

Sensory Toolbox does not provide crisis intervention and is not for emergencies. We do not monitor, detect, or respond to emergencies, crises, or safety risks. We do not review your activity in real time, and no one at Sensory Toolbox will be alerted if you or a child is in danger. Do not use the Service to request help in an emergency.



If you or someone you know may be in danger, experiencing a medical or mental-health emergency, or thinking about suicide or self-harm, get help immediately:



Call or text 988 to reach the 988 Suicide and Crisis Lifeline (United States), available 24 hours a day, 7 days a week. You can also chat at 988lifeline.org.

Call 911 or go to the nearest emergency room for any immediate medical or safety emergency.

Outside the United States, contact your local emergency number or crisis service.

Sensory Toolbox is not affiliated with and does not operate the 988 Suicide and Crisis Lifeline or any emergency service. We cannot guarantee the availability, response time, or confidentiality of any third-party crisis or emergency resource. We provide these resources for convenience only.



4. The Service

Sensory Toolbox delivers personalized sensory and self-regulation strategies through a mobile app, a parent-managed experience for children, and a Provider Dashboard that lets an authorized clinician or educator view how the people in their care are using strategies and set shared goals. We may add, change, or remove features over time.



5. Accounts and security

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Tell us promptly at hello@sensorytoolbox.com if you suspect unauthorized use. A parent or guardian is responsible for supervising a child's use of the app and for the activity on a child's profile. A clinician or organization is responsible for safeguarding professional credentials and for the activity of its authorized users.



6. Terms for specific users

In addition to the rest of these Terms, the following apply based on how you use the Service.



Parents and guardians. You decide whether the Service is appropriate for your child, you supervise your child's use, and you are responsible for your child's activity and for the content added to your child's profile. You consent to our handling of your child's information as described in the Privacy Policy, and you may withdraw that consent at any time.



Child users (ages 3 and up). Children use the app only under the supervision of a parent, guardian, or other responsible adult, through a profile an adult manages. Children are not asked to provide personal information directly and may not enter into these Terms.



Clinicians and Provider Dashboard users. The Provider Dashboard and any usage data, summaries, trends, or reports it presents are intended to support, not replace, your independent professional judgment. The information presented is descriptive usage information about how a client engages with sensory and self-regulation strategies. It is not a diagnostic output, a clinical assessment, a treatment recommendation, or a directive, and it must not be treated as one.



You remain solely and fully responsible for the assessment, diagnosis, treatment, and care of your clients and for all clinical decisions, using your own independent professional judgment. You agree to independently review the basis for any information in the Dashboard and not to rely on it as the sole basis for any clinical decision. You represent that, before connecting any client to the Dashboard or accessing any client's data, you have obtained every consent and authorization required by law and by professional and ethical standards, including from the client or, for a minor, the client's parent or legal guardian. You will access and use client data only as needed to support that client's care, consistent with the consents obtained and with applicable law, and you are responsible for your own compliance with the rules that govern your practice.



Adult users. If you use the app for yourself, you are responsible for deciding whether a given strategy is appropriate for you, consistent with the medical disclaimer in Section 2.



7. Clinics, schools, and other organizations

If you use Sensory Toolbox as, or on behalf of, a clinic, school, or other organization, your use is also governed by the written agreement between Sensory Toolbox and your organization, which may include a Data Processing Agreement, a school Data Protection Agreement, or a HIPAA Business Associate Agreement. Where one of those agreements applies, it controls over these Terms for the data covered by it. An organization that inputs or accesses information about children, students, or clients represents that it is authorized to do so and that it has obtained any consents required by COPPA, FERPA, HIPAA, and other applicable law. Organizational reporting is limited to de-identified and aggregated information, except for the individual information a specific authorized provider is permitted to see.



8. Subscriptions, auto-renewal, free trials, and refunds

Some features require a paid subscription.



Auto-renewal. Sensory Toolbox is offered as an auto-renewing subscription. Your subscription automatically renews at the end of each billing period, and the then-current price (for example, $3.99 per month for the consumer plan, or the applicable institutional rate) will be charged to your payment method, until you cancel. Renewal continues automatically unless you cancel before the current period ends.



Free trials. If you start a free or discounted trial, your subscription automatically converts to a paid subscription and you will be charged the stated price when the trial ends, unless you cancel before the trial period ends. We will tell you the length of the trial, the date of the first charge, and the price before you sign up.



How to cancel. You can cancel at any time, easily and without obstacle. If you purchased through the Apple App Store or Google Play, manage or cancel your subscription in your device's account settings (Apple: Settings, your name, Subscriptions; Google Play: Subscriptions), at least 24 hours before the renewal date. If you purchased directly from us, you can cancel in your account settings or by contacting hello@sensorytoolbox.com. Cancellation takes effect at the end of the current billing period, and you keep access until then.



Refunds. For subscriptions purchased through the Apple App Store or Google Play, payments and refunds are handled by Apple or Google under their terms, and we cannot process those refunds directly. Use Apple's or Google's refund process for those purchases. For purchases made directly from us, contact us at hello@sensorytoolbox.com to request a refund and we will review it.



Price changes. We may change subscription prices. If a change affects your renewal, we will give you advance notice, and the new price applies only after the notice period and your next renewal.



9. License and acceptable use

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the app for its intended purpose, subject to these Terms. Clinicians and organizations receive a license to use the Provider Dashboard for the professional purpose described in their agreement.



You agree not to:



Use the Service for any unlawful purpose or in violation of these Terms.

Copy, modify, reverse engineer, decompile, or attempt to extract the source code of the app, except where the law allows it.

Resell, sublicense, or commercially exploit the Service without our written permission.

Interfere with or disrupt the Service, attempt to gain unauthorized access, or circumvent security.

Upload content that is unlawful, harmful, or infringing, or that you do not have the right to share.

Use the Service to collect information about others without authorization.

10. Your content

The Service lets a parent, adult user, or clinician add content such as profile details, reflection notes, and goals. You keep ownership of the content you provide. You grant us a limited license to host, store, process, and display that content as needed to operate and improve the Service, consistent with our Privacy Policy. We do not make any child's content public, and the Service does not include child-to-child social features by default. You are responsible for the content you add and for having the right to add it.



11. Privacy

Our Privacy Policy explains how we collect, use, and protect information, including children's information. By using the Service, you acknowledge the Privacy Policy. We will not reduce your rights under the Privacy Policy without your consent where the law requires it.



12. Assumption of risk and supervision

Some strategies involve physical movement, breathing techniques, or the use of sensory tools or objects, which carry inherent risks, including physical discomfort or injury. You are responsible for deciding whether a strategy is appropriate and safe for you or for the child in your care, given individual health, age, developmental stage, and abilities, and for consulting a qualified professional if you have any concern about suitability or safety.



Children should use the Service only under the active supervision of a parent, guardian, or other responsible adult, who is responsible for selecting age-appropriate strategies and ensuring activities and tools are used safely. To the fullest extent permitted by law, the supervising adult voluntarily assumes responsibility for the risks of their own and any supervised child's use of the strategies and activities offered through the Service.



13. Disclaimer of warranties

Except where prohibited by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any strategy or content will achieve any particular result.



14. Limitation of liability

To the fullest extent permitted by law, in no event will Sensory Toolbox Corporation or its officers, employees, advisors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or data, arising out of or relating to your use of or inability to use the Service. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars.



Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, recklessness, or willful misconduct, for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you, and you may have additional rights.



15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Sensory Toolbox Corporation and its personnel from third-party claims, damages, and reasonable costs, including reasonable attorneys' fees, arising out of your misuse of the Service, your violation of these Terms or applicable law, or, for clinicians and organizations, your failure to obtain any required client, parent, or guardian consents. This indemnity does not apply to the extent a claim arises from our own gross negligence or willful misconduct.



16. Dispute resolution, arbitration, and class-action waiver

Informal resolution first. Before starting any formal proceeding, you agree to contact us at hello@sensorytoolbox.com and give us 60 days to resolve the dispute informally. We will do the same for any claim we have against you.



Binding arbitration. If we cannot resolve a dispute informally, you and Sensory Toolbox agree to resolve it through final and binding arbitration administered by a recognized arbitration provider under its consumer rules, rather than in court, except as stated below. The arbitration will take place in or near Chicago, Illinois, or by video or phone where allowed, and the Federal Arbitration Act governs this agreement to arbitrate.



Class-action and jury waiver. You and Sensory Toolbox agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. You and Sensory Toolbox waive the right to a jury trial.



Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or stop unauthorized use of the Service.



30-day opt-out. You can opt out of this arbitration agreement by emailing hello@sensorytoolbox.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.



Governing law. These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, except where the Federal Arbitration Act or other federal law applies.



17. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or end your access if you violate these Terms, if we are required to by law, or if we discontinue the Service. When an account is closed, we handle the information in it as described in the Privacy Policy, including deleting a child's information. For organizational customers, data return and deletion on termination are handled under the applicable organizational agreement.



18. Apple and Google app store terms

If you download the app from the Apple App Store or Google Play, you also agree to that store's terms, and the following apply.



These Terms are between you and Sensory Toolbox only, not with Apple or Google. Sensory Toolbox, not Apple or Google, is solely responsible for the app and its content.

Your license to use the app on Apple devices is limited to use on Apple-branded products as permitted by the App Store Terms of Service.

Apple and Google have no obligation to provide support or maintenance for the app. Apple and Google are not responsible for any product warranties, claims of non-conformity, third-party intellectual property claims, or product liability claims relating to the app, which are Sensory Toolbox's responsibility to the extent these Terms provide.

You represent that you are not located in a country subject to a U.S. embargo or designated as terrorist-supporting, and that you are not on any U.S. government restricted-party list.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to your use of the app on an Apple device.

19. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you through the app, by email, or by other reasonable means. Changes are not retroactive. Your continued use of the Service after an update means you accept the updated Terms. If you do not agree, stop using the Service and close your account.



20. General

These Terms, the Privacy Policy, and any organizational agreement are the entire agreement between you and Sensory Toolbox about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
